general terms and conditions

1. scope of application

Our terms and conditions of business apply exclusively; we do not accept any terms and conditions of the customer that conflict with or deviate from our terms and conditions of business, unless we agree to their validity.

 

2. conclusion of contract

2.1 Our information on our website is merely a non-binding invitation to the customer to order goods from us.

2.2 By placing an order on the internet, by e-mail, by fax or by telephone, the customer makes a binding offer to conclude a purchase contract. Upon receiving his order, the customer will immediately receive a confirmation of receipt by e-mail. Unless otherwise notified, the confirmation of receipt shall also constitute a declaration of acceptance on our side. If we have not simultaneously declared acceptance of the contract in the confirmation of receipt, we are entitled to accept the customer's offer within a period of two weeks either by sending an order confirmation or by sending the goods.

2.3 We shall only assume a procurement risk if we have the ordered goods in stock. Otherwise, the conclusion of the contract is always subject to correct and timely self-supply. If our supplier does not deliver to us or does not deliver in time, we will inform the customer immediately. The customer can then withdraw from the contract. In such a case, any purchase price already paid will be refunded by us.

 

3. prices and terms of payment

3.1 All our prices are net prices including VAT. The prices shown in the online shop are only valid for orders placed there at the time of ordering. The shipping costs are depending on the order value and will be communicated before ordering. When shipping abroad, increased shipping costs are incurred. The shipping costs will be communicated by our customer service before ordering.

3.2 We only deliver if you pay in advance, by credit card, by invoice or by Paypal. Payment in advance must be made to our account at Deutsche Bank Stuttgart, IBAN: DE36600700700124307000

With the completion of the purchase on account we fall back on the service of paymorrow GmbH. Therefore, please only use the account details provided by paymorrow GmbH by e-mail for the purchase. When purchasing on account (invoice purchase via paymorrow), the ordered goods are sent or delivered to the customer together with the invoice. The purchase price is due for payment within 30 (thirty) calendar days after the invoice date.

3.3 The occurrence of default and the amount of interest on delayed payment shall be in accordance with the statutory provisions. We point out that the customer is in default at the latest if he does not pay within 30 days after the due date and receipt of an invoice or an equivalent request for payment.

3.4 The customer may not offset any counterclaims, unless the counterclaims are undisputed or legally binding. The customer may only refuse performance or withhold performance on account of any counterclaims if his counterclaim is based on the same contractual relationship.

 

4 Packaging and delivery

4.1 The goods are packed by us ready for dispatch. We will not take back the packaging.

4.2 Our information on delivery periods is non-binding, unless we have expressly guaranteed their binding nature. Events of force majeure entitle us to postpone the delivery for the duration of the hindrance and a reasonable start-up period. The same applies in the event of energy or raw material shortages, industrial disputes, official or sovereign measures, operational disruptions, obstructions of transport routes and in the event that our suppliers do not supply us, do not supply us on time or do not supply us properly for the aforementioned reasons. If the execution of the contract becomes unreasonable for one party due to these events, this party may declare its withdrawal from the contract.

4.3 Delivery shall be made from Ludwigsburg to the address specified by the customer in the order (sale to destination).

 

5 Retention of title

The goods remain our property until full payment has been received. Prior to the transfer of ownership, pledging, transfer by way of security, processing or transformation is not permitted without our express prior consent.

7. warranty

In the event of material defects which are equivalent to the delivery of another item or a quantity which is too small, we provide the following warranty under the following conditions:

7.1 If the customer is a merchant, the obligation to examine and give notice of defects pursuant to § 377 HGB (German Commercial Code) shall apply.

7.2 In the event of a justified and timely notification of defects, we shall be entitled to either remedy the defect or make a replacement delivery within a reasonable period of time at the discretion of the customer (subsequent performance). In the event of subsequent performance, we are obliged to bear all expenses necessary for the purpose of subsequent performance, in particular transport, travel, labour and material costs, insofar as these are not increased by the goods being taken to a location other than the customer's registered office or branch, unless this would correspond to their intended use.

7.3 If the subsequent performance fails at least twice, the customer is entitled at his discretion to withdraw from the contract or to demand a corresponding reduction of the purchase price (reduction); if we are responsible for the breach of duty, the customer can demand compensation. If the material defect is not considerable, the customer is only entitled to a reduction. The same applies to an incomplete delivery, unless the customer proves that it is unreasonable for him to adhere to the contract due to the incomplete delivery.

7.4 All warranty claims of the customer become statute-barred two years after delivery of the goods.

 

8. right of revocation

8.1 You may revoke your contractual declaration in written form (e.g. letter, fax, e-mail) within 14 days without stating reasons or - if the goods are handed over to you before the expiry of this period - also by returning the goods. The period begins after receiving this instruction in text form, but not before receiving the goods (in the case of repeating deliveries of similar goods not before receipt of the first partial delivery) and also not before fulfilment of our information obligations according to Article 246 § 2 in conjunction with § 1 sections 1 and 2 EGBGB and our obligations according to § 312g section 1 sentence 1 BGB in conjunction with Article 246 § 3 EGBGB. 8.2 Consequences of revocation

In the event of an effective revocation, the services received by both parties must be returned and any benefits gained (e.g. interests) surrendered. The right of revocation does not apply to long-distance contracts

-for the delivery of goods which are manufactured according to customer specifications or are clearly tailored to personal needs or which, due to their nature, are not suitable for return or can spoil quickly or whose expiry date would be exceeded;

-for the delivery of audio or video recordings or software, if the delivered data carriers have been opened by the consumer.8.4 Agreement on the bearing of costs when exercising the right of revocation:

If you make use of your right of revocation (see revocation instruction), you have to bear the regular costs of the return, if the delivered product is the ordered one and if the price of the product to be sent back does not exceed an amount of 40 euros or if you have not provided the payment or a contractually agreed partial payment at a higher price of the product at the time of the revocation yet.
